Master Subscription Agreement

This Master Subscription Agreement ("MSA" or "Agreement") governs the relationship between Recruiter Machine LLC and all subscribers across every plan tier. The plan-specific Schedules that follow this MSA modify or supplement these terms for each tier. Where a Schedule conflicts with the MSA, the Schedule controls.

Section 1

Parties & Definitions

This Agreement is entered into between Recruiter Machine LLC, a limited liability company organized under the laws of the State of [State] ("Company," "we," "us," or "Recruiter Machine"), and the individual or entity completing registration for or actively using a Recruiter Machine subscription plan ("Subscriber," "you," or "Client").

The following definitions apply throughout this Agreement and all Schedules:

"Platform"

The Recruiter Machine software-as-a-service platform, including all associated tools, dashboards, automation features, templates, integrations, and supporting infrastructure made available to Subscribers under a valid subscription.

"Subscription"

The right to access and use the Platform under a specific plan tier (as defined in the applicable Schedule) for the duration of the Subscription Term, subject to the terms of this Agreement.

"Subscription Term"

The period during which Subscriber has an active, paid right to access the Platform — beginning on the Activation Date and continuing until cancelled or expired per the terms herein.

"Activation Date"

The date on which Subscriber's payment is confirmed and Platform access is granted — whether through direct checkout, affiliate link, or sales rep close.

"Billing Cycle"

The recurring period (monthly or annual) on which Subscriber's plan fee is charged. Monthly Billing Cycles renew on the same calendar date each month as the Activation Date.

"Subscriber Data"

All data, content, candidate information, client records, pipeline data, and other information uploaded to or generated within the Platform by or on behalf of the Subscriber.

"Users"

Individual persons authorized by Subscriber to access the Platform under the Subscriber's account, subject to the seat limits defined in the applicable Schedule.

"Schedule"

A plan-specific addendum to this Agreement that defines the features, pricing, seat limits, support level, and any plan-specific terms applicable to the Subscriber's chosen tier.

"Confidential Information"

Any non-public, proprietary information disclosed by either party to the other, including but not limited to pricing structures, technical specifications, training materials, candidate data, and business processes.

Section 2

Description of Services

Recruiter Machine provides a recruiting automation and business management platform designed for independent recruiters and recruiting firms. The Platform includes, subject to plan tier, features such as candidate pipeline management, automated outreach sequences, client relationship management, job order tracking, placement tracking, invoicing tools, reporting dashboards, template libraries, AI-assisted sourcing tools, and integrations with third-party platforms.

The specific features, seat allocations, storage limits, support access, and usage caps applicable to the Subscriber's plan are defined in the Schedule for that plan tier. Features not included in the Subscriber's Schedule are not available under that Subscription without an upgrade.

2.1 Service Availability

Recruiter Machine commits to a target Platform uptime of 99.5% per calendar month, excluding scheduled maintenance windows (which will be communicated at least 48 hours in advance) and events beyond our reasonable control. Downtime is calculated as consecutive minutes of Platform unavailability and does not include partial degradation unless core functions are unavailable.

2.2 Service Modifications

Recruiter Machine reserves the right to modify, add, or remove Platform features with 30 days' advance notice to Subscribers. Feature removals that materially reduce the value of a Subscriber's current plan tier entitle the Subscriber to a pro-rated credit or the option to cancel without early termination fees within 14 days of the notice.

2.3 Third-Party Integrations

The Platform may integrate with third-party services (job boards, email providers, payment processors, ATS platforms). Recruiter Machine does not warrant the availability or performance of third-party services. Subscriber's use of third-party integrations is governed by the respective third party's terms of service.

Section 3

Payment Terms & Billing

All subscription fees are due and payable in advance of each Billing Cycle. Payment is processed automatically using the payment method on file at the time of Activation or as subsequently updated by Subscriber.

3.1 Pricing

Subscription fees for each plan tier are set forth in the applicable Schedule. All fees are stated in US Dollars (USD) and are exclusive of applicable taxes, which are the sole responsibility of the Subscriber. Recruiter Machine reserves the right to adjust pricing with 30 days' advance written notice. Price changes apply to the next renewal cycle following the notice period — not retroactively to the current period.

3.2 Failed Payments

If a payment fails, Recruiter Machine will attempt to collect the outstanding amount up to three (3) times over a seven-day period. If payment is not resolved within 10 days of the original due date, access to the Platform will be suspended. Access will be restored promptly upon successful payment. Accounts suspended for more than 30 days for non-payment may be terminated and Subscriber Data deleted with 14 days' additional notice.

3.3 Taxes

Subscriber is responsible for all taxes, duties, and levies assessed by any jurisdiction on the subscription fees, other than taxes on Recruiter Machine's net income. If Recruiter Machine is required by law to collect and remit taxes, those amounts will be added to the Subscriber's invoice.

3.4 Upgrades & Downgrades

Plan upgrades take effect immediately upon processing and are pro-rated for the remainder of the current Billing Cycle. Plan downgrades take effect at the start of the next Billing Cycle — no partial-period refunds are issued for downgrades mid-cycle.

Section 4

Term, Renewal & Cancellation

4.1 Initial Term

Monthly subscriptions commence on the Activation Date and continue month-to-month unless cancelled. Annual subscriptions commence on the Activation Date and continue for twelve (12) consecutive months. Multi-year subscriptions continue for the contracted period (twenty-four (24) months for two-year plans) from the Activation Date.

4.2 Automatic Renewal

All subscriptions renew automatically at the end of each Billing Cycle or Subscription Term at the then-current pricing for the Subscriber's plan, unless cancelled before the renewal date. Recruiter Machine will send a renewal reminder no fewer than 7 days before annual and multi-year renewals.

4.3 Cancellation by Subscriber

Subscriber may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current Billing Cycle — no partial-month refunds are provided. Access continues through the period already paid. Annual and multi-year cancellations are governed by the Schedule for that plan. Cancellation must be submitted through the Platform account settings or in writing to [email protected].

4.4 Termination for Cause

Recruiter Machine may terminate this Agreement immediately upon written notice if Subscriber: (i) materially breaches this Agreement and fails to cure within 14 days of notice; (ii) violates the Acceptable Use policy; (iii) becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors; or (iv) engages in fraud or misrepresentation in connection with the Platform. Upon termination for cause, no refunds are owed.

4.5 Data Upon Termination

Upon cancellation or termination, Subscriber has 30 days to export their Subscriber Data from the Platform. After 30 days, Recruiter Machine may permanently delete the Subscriber Data. Recruiter Machine is not liable for any data loss after the 30-day export window.

Section 5

Refund & Chargeback Policy

5.1 General Refund Policy

All subscription fees are non-refundable except as expressly stated in this Section or the applicable Schedule. Recruiter Machine does not provide refunds for partial Billing Cycles, unused features, or downtime that falls within the stated SLA.

5.2 New Subscriber Satisfaction Guarantee

New Subscribers on monthly Solo plans (Launch, Builder, Accelerator, Elite) may request a full refund within 7 days of the initial Activation Date if they are not satisfied with the Platform, provided they have not yet logged more than 3 hours of Platform usage in that period. This guarantee applies once per Subscriber and does not apply to renewals, annual plans, or Team plans. To request: email [email protected] with subject "Refund Request — [Account Name]" within the 7-day window.

5.3 Service Failure Refunds

If Platform downtime exceeds the 99.5% monthly SLA, Subscriber is entitled to a pro-rated service credit equal to the downtime hours × (monthly fee ÷ 730). Credits are applied to the following Billing Cycle. Cash refunds are not provided for service credits.

5.4 Chargebacks

Subscribers agree not to initiate chargebacks or payment disputes with their financial institution except in cases of confirmed unauthorized use of their payment method. Chargebacks initiated without first contacting Recruiter Machine support are a material breach of this Agreement. Recruiter Machine reserves the right to dispute all chargebacks with supporting documentation and to suspend or terminate accounts with active chargebacks pending resolution.

Section 6

Acceptable Use & Restrictions

Subscriber agrees to use the Platform solely for lawful recruiting and business management purposes and in compliance with all applicable laws, including employment law, anti-spam law (CAN-SPAM, CASL), data protection regulations (GDPR, CCPA where applicable), and equal employment opportunity laws.

Subscriber shall not use the Platform to store, transmit, or distribute discriminatory job postings or candidate screening criteria that violate applicable employment law.
Subscriber shall not use automated sequences or outreach tools to send unsolicited commercial communications to individuals who have not consented to receive them under applicable anti-spam law.
Subscriber shall not reverse-engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Platform.
Subscriber shall not resell, sublicense, or otherwise make the Platform available to third parties except as expressly permitted under Team plans with respect to authorized Users.
Subscriber shall not use the Platform to scrape, harvest, or systematically extract data from third-party platforms in violation of those platforms' terms of service.
Subscriber shall not introduce any malware, viruses, or code designed to disrupt, damage, or gain unauthorized access to the Platform or any connected systems.
Subscriber shall not exceed the seat limits, storage limits, or API call limits defined in the applicable Schedule.
Subscriber shall not impersonate Recruiter Machine, its employees, or other Subscribers in any communication or Platform activity.

Violation consequences: Violation of the Acceptable Use policy may result in immediate account suspension pending investigation, permanent termination without refund, and may expose Subscriber to civil or criminal liability depending on the nature of the violation.

Section 7

Data, Privacy & Confidentiality

7.1 Subscriber Data Ownership

Subscriber retains all ownership rights in Subscriber Data. Recruiter Machine claims no ownership over Subscriber Data. Subscriber grants Recruiter Machine a limited, non-exclusive license to store, process, and transmit Subscriber Data solely to the extent necessary to provide the Platform services.

7.2 Recruiter Machine Data Use

Recruiter Machine will not sell Subscriber Data to third parties. Recruiter Machine may use anonymized, aggregated usage data derived from Subscriber activity to improve the Platform, develop new features, and publish industry benchmarks — provided such data cannot reasonably be used to identify individual Subscribers or their candidates.

7.3 Data Security

Recruiter Machine implements and maintains commercially reasonable technical and organizational security measures to protect Subscriber Data from unauthorized access, disclosure, or destruction. In the event of a confirmed data breach affecting Subscriber Data, Recruiter Machine will notify affected Subscribers within 72 hours of discovery.

7.4 Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of the Agreement for a period of three (3) years.

7.5 GDPR & CCPA

To the extent Subscriber processes personal data of individuals located in the European Economic Area or California, Subscriber is the data controller and Recruiter Machine acts as a data processor. A Data Processing Addendum (DPA) is available upon request and is incorporated by reference for Subscribers subject to GDPR or CCPA. Subscriber is responsible for ensuring lawful basis for any personal data stored on the Platform.

Section 8

Intellectual Property

The Platform, including all software, designs, workflows, training materials, template libraries, AI models, brand elements, and documentation, are the exclusive intellectual property of Recruiter Machine LLC and are protected by applicable copyright, trademark, trade secret, and patent laws.

This Agreement grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the Subscription Term solely for Subscriber's internal business purposes. No rights are transferred to Subscriber except this limited license. All rights not expressly granted are reserved by Recruiter Machine.

Any feedback, suggestions, or ideas that Subscriber provides regarding the Platform may be used by Recruiter Machine without restriction or compensation.

Section 9

Warranties & Disclaimers

Recruiter Machine warrants that: (i) it has the legal authority to enter into this Agreement; (ii) the Platform will substantially conform to the features described in the applicable Schedule during the Subscription Term; and (iii) it will not knowingly introduce malware or malicious code into the Platform.

EXCEPT AS EXPRESSLY STATED ABOVE, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Recruiter Machine does not warrant that the Platform will be error-free, uninterrupted, or that any particular result or outcome will be achieved through use of the Platform.

Recruiter Machine makes no representations regarding the performance of Subscriber's recruiting business. Placement outcomes, revenue generation, and client acquisition results depend entirely on factors within Subscriber's control.

Section 10

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECRUITER MACHINE'S TOTAL CUMULATIVE LIABILITY TO SUBSCRIBER FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE TOTAL FEES PAID BY SUBSCRIBER TO RECRUITER MACHINE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

IN NO EVENT SHALL RECRUITER MACHINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — EVEN IF RECRUITER MACHINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies to all claims whether based on warranty, contract, tort, statute, or any other legal or equitable theory. Some jurisdictions do not allow the exclusion or limitation of certain damages — in such jurisdictions, liability is limited to the fullest extent permitted by law.

Section 11

Indemnification

Subscriber agrees to defend, indemnify, and hold harmless Recruiter Machine LLC and its members, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (i) Subscriber's use of the Platform in violation of this Agreement; (ii) Subscriber Data, including any claim that Subscriber Data infringes or misappropriates any third party's rights; (iii) Subscriber's violation of any applicable law; or (iv) Subscriber's recruiting or business practices conducted using the Platform.

Section 12

Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, the parties agree to attempt good-faith resolution of any dispute by contacting [email protected] and allowing 30 days for resolution. Most disputes relating to billing, access, or features can be resolved at this stage.

12.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

12.3 Class Action Waiver

SUBSCRIBER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All claims must be brought individually. This waiver is a material term of this Agreement.

12.4 Governing Law & Venue

This Agreement is governed by the laws of the State of [State], USA, without regard to conflict-of-law principles. Any proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in [County], [State].

Section 13

General Provisions

13.1 Entire Agreement

This MSA and all applicable Schedules constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements, representations, and understandings.

13.2 Amendment

Recruiter Machine may amend this Agreement with 30 days' advance written notice. Continued use of the Platform after the effective date of an amendment constitutes acceptance. If Subscriber objects, they may cancel before the effective date without penalty.

13.3 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable. All other provisions remain in full force.

13.4 Waiver

Failure to enforce any provision of this Agreement does not constitute a waiver of the right to enforce it in the future.

13.5 Assignment

Subscriber may not assign or transfer this Agreement without Recruiter Machine's prior written consent. Recruiter Machine may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to Subscriber.

13.6 Force Majeure

Neither party is liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, government actions, internet outages, or third-party platform failures.

13.7 Notices

Notices under this Agreement shall be in writing and delivered via email to the addresses on file. Notices are effective upon confirmed receipt.

13.8 Relationship of Parties

The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship between the parties.

Section 14

Acceptance & Execution

By completing checkout, activating a subscription, or clicking "I Agree" during the onboarding process, Subscriber acknowledges that they have read, understood, and agree to be bound by this Master Subscription Agreement and the applicable plan Schedule. If Subscriber is entering into this Agreement on behalf of a company or other legal entity, Subscriber represents that they have the authority to bind that entity.

Monthly fee: $50.00 USD, billed in advance on the monthly anniversary of the Activation Date. Annual commitment is not available for Blueprint. No multi-year contract option exists for this tier.

Month-to-month. Cancels at end of current Billing Cycle. No early termination fee. No satisfaction guarantee applies to the Blueprint plan. No refunds for any reason on this plan tier.

Plan-Specific Restrictions

Blueprint is a single-user plan. Sharing login credentials with additional users is a material breach of this Agreement. Blueprint Subscribers who wish to add users must upgrade to a Solo or Team plan. Blueprint is not eligible for volume discounts, affiliate co-marketing, or custom integrations.

Pricing, Payment & Annual Option

Monthly: $397.00 USD/month. Annual commitment available at $3,970.00 USD (equivalent to 10 months — 2 months free). Annual fees are paid in full upfront. Annual terms are governed by Schedule 9 (Annual & Multi-Year).

S2.4

Term, Cancellation & Refund

Month-to-month plans cancel at end of current Billing Cycle. The 7-day new Subscriber satisfaction guarantee (MSA §5.2) applies to first-time activations on this plan. Annual plans: see Schedule 9.

S2.5

Upgrade Path

Subscriber may upgrade to Solo Builder, Solo Accelerator, Solo Elite, or any Team plan at any time. Upgrades are pro-rated for the remainder of the current Billing Cycle. Prior monthly fees are not credited toward an annual commitment upgrade.

Elite-Specific Terms

Solo Elite Subscribers who transition to a Team plan retain their dedicated Success Manager for a 60-day transition period. Custom workflows built under the Elite plan remain available to the Subscriber but may require migration assistance (provided at no charge within 30 days of plan change).

This Schedule supplements the MSA for subscribers on the Team Platform plan. Designed for small recruiting firms transitioning from solo to team operations, with multi-user access, shared pipelines, and team management tools.

S6.3

Pricing, Seats & Annual Option

Base monthly: $3,497.00 USD/month (includes 5 seats). Additional seats billed at $150.00/user/month, added to each Billing Cycle. Annual: $34,970.00 USD (10 months' equivalent). Seat count is locked at the start of an annual term — seat additions during an annual term are billed monthly at the add-on rate.

S6.4

Account Owner Responsibilities

The Account Owner is the individual or entity who initiated the subscription and is responsible for all billing, user management, and compliance with this Agreement on behalf of all Users. The Account Owner may designate an Admin User with equivalent platform permissions but retains full contractual and billing responsibility.

The Account Owner is responsible for promptly revoking Platform access for any User who leaves the organization or whose access should otherwise be terminated. Recruiter Machine is not liable for actions taken by former Users whose access was not revoked.

S8.3

Pricing & Contract Terms

Team Dominate subscriptions may be negotiated as custom enterprise agreements for organizations with 50+ users or specific compliance requirements. Custom agreements supersede this Schedule where noted.

S8.4

Enterprise SLA Terms

Team Dominate Subscribers may elect to negotiate a custom SLA addendum that specifies: (i) uptime guarantee above the standard 99.9%; (ii) credit structure for downtime; (iii) incident response time commitments; and (iv) dedicated infrastructure options. All SLA addenda are incorporated by reference into this Agreement and take precedence over the standard MSA §9 warranty provisions with respect to the specific terms negotiated.

S8.5

Implementation Services

Implementation services for Team Dominate are scoped and priced at the time of contract execution based on organizational complexity. Three standard implementation packages are available:

Implementation fees are due 50% at contract signing and 50% upon completion of the implementation milestone as defined in the implementation SOW. Implementation services are non-refundable once work has commenced. Implementation timelines are estimates — Recruiter Machine is not liable for delays caused by Subscriber's failure to provide timely access, data, or approvals.

S8.6

Early Termination

Team Dominate Subscribers on annual or multi-year terms who cancel prior to the end of the contracted term are subject to an early termination fee equal to 50% of the remaining contract value. Early termination fees are waived if termination is due to Recruiter Machine's material breach of this Agreement that remains uncured after 30 days' written notice.

Schedule 9 — Commitment Terms

Contract Schedule

This Schedule governs the terms applicable to all annual and multi-year subscription commitments across all plan tiers. It supplements the applicable plan Schedule and the MSA. Where this Schedule conflicts with a plan Schedule, this Schedule controls with respect to commitment-term-specific provisions.

S9.1

Annual Commitment Terms

Annual subscriptions are available for all plan tiers except Blueprint. The annual commitment fee is equal to ten (10) months of the then-current monthly plan rate — effectively providing two months at no charge. Annual fees are paid in full upfront on or before the Activation Date of the annual term.

Annual commitments auto-renew for successive one-year terms unless Subscriber provides written cancellation notice no fewer than 30 days before the renewal date. Recruiter Machine sends a renewal reminder 45 days before annual renewal.

S9.2

Annual Cancellation Policy

Annual subscriptions are non-cancellable and non-refundable except in the following circumstances:

S9.2(a) — Cancellation Within 14 Days of Annual Renewal

Full refund of the annual fee, less a 10% administrative fee, if Subscriber notifies within 14 days of the auto-renewal charge and has not actively used the Platform during the new annual term.

S9.2(b) — Recruiter Machine Material Breach

If Recruiter Machine materially breaches the Agreement (including failure to maintain 99.5% uptime for two consecutive months) and fails to cure within 30 days of written notice, Subscriber may cancel the annual term and receive a pro-rated refund for the unused portion.

S9.2(c) — Plan Discontinuation

If Recruiter Machine discontinues the Subscriber's specific plan tier during an annual term, Subscriber may elect to migrate to the nearest equivalent plan at no additional cost or receive a pro-rated refund.

S9.2(d) — All Other Mid-Term Cancellations

All other cancellations mid-annual-term result in forfeiture of the unused portion of the annual fee with no refund or credit.

S9.3

Two-Year Contract Terms

Two-year contracts are available for all plan tiers except Blueprint and are priced as twenty (20) months of the then-current monthly plan rate (equivalent to two months free per year of commitment, or four months free over the full term). Two-year fees are paid in full upfront.

The elevated commission rate applicable to sales representatives on two-year deals (16% for Solo plans, 13% for Team plans, per Commission Structure v4.0) does not affect Subscriber's pricing — it is an internal compensation adjustment only.

S9.4

Two-Year Cancellation Policy

Two-year contracts are non-cancellable and non-refundable for the first 12 months. After month 12, Subscriber may cancel the remaining term with 60 days' written notice, subject to an early termination fee equal to 25% of the remaining contracted value. Early termination fees are waived in the event of Recruiter Machine material breach per S9.2(b). No partial-year refunds are provided under any circumstances on two-year contracts outside of the material breach or discontinuation provisions.

S9.5

Price Lock Guarantee

Subscribers on active annual or multi-year commitments are price-locked at the rate in effect at the time of their commitment for the full duration of that term. Price increases announced during an annual or multi-year term take effect at the next renewal — not during the current term. This guarantee applies to the base plan fee only and does not apply to add-on modules or seat additions during the term.

S9.6

Upgrade During Commitment Term

Annual and multi-year Subscribers may upgrade to a higher plan tier at any time. The upgrade is priced as a co-term adjustment — the Subscriber pays the difference in annual/multi-year rates pro-rated from the upgrade date through the end of the current term. The existing term end date is preserved; the term does not restart on upgrade. Downgrades are not permitted during an annual or multi-year term — Subscriber must wait until renewal.

Annual / Multi-Year Commitment Acknowledgment

By signing below or completing checkout for an annual or multi-year plan, Subscriber acknowledges that: (i) the full term fee is due upfront; (ii) the plan is non-refundable except as specified in S9.2 and S9.4; (iii) the plan auto-renews unless cancelled 30 days before renewal; and (iv) price locks apply for the committed term only.
